Drafting Corporate Documents

This course intended to help you take your knowledge of the theory of Company Law Act and associated principles to a new level. We have created an environment in which you gain experience and exposure corporate law practice, where you are able to translate theory to practical skills through experiential learning.


This course is not intended as a comprehensive manual for Drafting Corporate documents online. But it is rather intended as a starting point to help our learners develop a practical skills in the application of the corporate law principles. A place where you can begin to build your confidence and capacity to continue the learning journey in your own context and practice.

Course Objectives

After reading and understanding the contents of this course and you should be able to:

  • Explain what a director is, distinguish between an executive, a non-executive director and an independent non-executive director;
  • Explain how a director is appointed, what is the difference between ineligible and disqualified persons is and who is excluded from being a director;
  • Explain what the functions, powers of a director are and how a director acquires the authority to represent a company. and how directors are remunerated;
  • Explain what the duties of directors are at common law and under the Companies Act and distinguish between the different prescribed disclosures by directors;
  • What constitutes breach of director duties, and how a person ceases to be a director & what constitutes breach of fiduciary duties.

Short Course Outline (Modules)

Formation of a new Company:

  • Module 1 - Notice of Incorporation.
  • Module 2 - Appointment of Initial Directors.
  • Module 3 - Choosing a Company Name and reservation.
  • Module 4 - Appointment of initial auditors, company secretary etc.
  • Module 5 - o Choosing Public Officers etc. for initial in the MOI.

Effecting changes to a Company’s MOI:

  • Module 1 - Alteration, Consolidation.
  • Module 2 - change of name.
  • Module 3 - Resignation, removal and appointment of new directors.
  • Module 4 - Conversions of close corporations to companies.
  • Module 5 - Substituting Memorandum and Articles of Association with MOI in Companies formed before 2011.
  • Module 6 - Change of appointed auditor’s company secretary etc..
  • Module 7 - Changing Public Officer; Registered Office; Year End and Location of Records.
  • Module 8 - Changes to the Share Capital.
